Terms of Service for Teachers Society

Welcome to Teachers Society (“we,” “us,” or “our”), the best tuition media in Bangladesh, established in 2013. These Terms of Service (“Terms”) govern your access to and use of our platform, including our website, mobile applications, and any other services we provide (collectively, the “Services”).

Please read these Terms carefully before using our Services. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

By registering for an account, accessing, browsing, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy, which is incorporated herein by reference. These Terms constitute a legally binding agreement between you and Teachers Society.

2. Description of Services

Teachers Society is a platform designed to connect students seeking academic support with qualified tutors in Bangladesh. Our Services may include:

  • User Profiles: Allowing students and tutors to create profiles with relevant information.
  • Search and Matching: Providing tools for students to find suitable tutors based on subject, location, qualifications, and other criteria, and for tutors to find potential students.
  • Communication Tools: Enabling direct communication between students and tutors through messaging features.
  • Scheduling and Booking: Facilitating the scheduling and booking of tuition sessions.
  • Payment Processing: Providing a platform for processing payments for tuition services (handled by secure third-party providers).
  • Review and Rating System: Allowing students to provide feedback and ratings for tutors, and vice versa.
  • Educational Resources: Potentially offering supplementary learning materials or tools.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without notice.

3. User Accounts

3.1 Registration

To access certain features of our Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update your information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We will not be liable for any loss or damage arising from your failure to comply with this section.

3.3 Eligibility

By registering for an account, you represent and warrant that you are at least 18 years of age or have the legal capacity to enter into a contract in your jurisdiction. If you are using our Services on behalf of a minor, you agree to supervise their use and be responsible for their actions.

3.4 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and without prior notice or liability. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent activity, or conduct that we deem harmful to our platform or other users. You may also terminate your account at any time. Upon termination, your right to access and use the Services will immediately cease.

4. User Conduct

You agree to use our Services in a responsible and respectful manner and to comply with the following guidelines:

  • Lawful Use: You will use our Services only for lawful purposes and in accordance with all applicable laws and regulations in Bangladesh.
  • Respectful Communication: You will communicate respectfully and professionally with other users. Harassment, discrimination, offensive language, or any form of inappropriate behavior is strictly prohibited.
  • Accurate Information: You will provide accurate and truthful information in your profile and during your interactions with other users.
  • No Spam or Unauthorized Solicitation: You will not send unsolicited messages, advertisements, or spam to other users.
  • No Intellectual Property Infringement: You will not upload, post, or transmit any content that infringes upon the intellectual property rights of others.
  • No Harmful Content: You will not upload, post, or transmit any content that is defamatory, libelous, obscene, pornographic, threatening, or otherwise harmful.
  • No Interference with Services: You will not attempt to interfere with or disrupt the operation of our Services or the servers and networks connected to our Services.
  • No Circumventing Security Measures: You will not attempt to circumvent any security measures or access restricted areas of our Services.
  • Responsibility for Interactions: You are solely responsible for your interactions with other users of our Services. We are not responsible for the conduct of any user.

We reserve the right to monitor user conduct on our platform and to take appropriate action, including removing content and suspending or terminating accounts, for violations of these guidelines.

5. Payments and Fees

5.1 Tuition Fees

The fees for tuition services are agreed upon directly between the student and the tutor. Teachers Society is not responsible for setting or mediating these fees.

5.2 Platform Fees (if applicable)

Teachers Society may charge a fee for the use of certain features of our Services, such as a commission on tuition fees or subscription fees for premium features. If applicable, these fees will be clearly communicated to you, and you will have the option to agree to them before incurring any charges.

5.3 Payment Processing

Payments for tuition services or platform fees may be processed through third-party payment processors. You agree to abide by the terms and conditions of these payment processors. We are not responsible for any issues arising from the use of third-party payment processors.

5.4 Taxes

You are responsible for any applicable taxes related to your use of our Services or the tuition services provided or received.

6. Intellectual Property

6.1 Our Content

The content and materials available on our Services, including but not limited to text, graphics, logos, images, software, and the design of the platform, are owned by or licensed to Teachers Society and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, display, or create derivative works of our content without our prior written consent.

6.2 User Content

By uploading, posting, or transmitting content through our Services (“User Content”), you grant Teachers Society a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with our Services and our business, including for promotional purposes. You represent and warrant that you have all necessary rights to grant this license.

You are solely responsible for your User Content and the consequences of posting or publishing it. You agree not to post or transmit any User Content that violates these Terms or the rights of any third party.

7. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT AVAILABLE THROUGH OUR SERVICES, INCLUDING USER CONTENT.

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. WE ARE NOT RESPONSIBLE FOR ANY INTERACTIONS, AGREEMENTS, OR TRANSACTIONS BETWEEN USERS. ANY ARRANGEMENTS MADE BETWEEN STUDENTS AND TUTORS ARE SOLELY BETWEEN THEM.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEACHERS SOCIETY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND TEACHERS SOCIETY.

9. Indemnification

You agree to indemnify, defend, and hold harmless Teachers Society, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use of our Services.
  • Your User Content.
  • Your violation of these Terms.
  • Your violation of any rights of another party, including other users.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh. You hereby consent to the personal jurisdiction of such courts.

11. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Teachers Society regarding your use of our Services and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

13. Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
